Expectations of an awareness program on Pub Crawl Holdings Inc. (OTC:PBCW) is that much closer to commencing now that the business model has been revised. At the close of last week, the Carrillo Huettel LLP incubated company’s sole director, former Minister of the United Democratic Party of Belize as well as Attorney General, Hubert Elrington, passed over control to Brian McFadden and Michelle Pannoni. In accordance with the power shift, Mobile Dynamic Marketing, Inc. was acquired which provides a story line for PBCW stock to now get pumped on.

As at September 30, 2012, the Company had a cash balance and asset total of $2,177 with no financing or investing activities partly because on September 3, 2012, the Company sold 100% rights of PubCrawl to the former President and Director of the Company, Peter Kremer. Last week, the ball was put into motion for the basis which, other than a ticker symbol and name change, is likely to be the story line for the PBCW stock promotion.
On November 27, 2012, Brian McFadden and Michelle Pannoni each acquired control of 37.50 million shares respectively of the Company’s issued and outstanding PBCW stock from Elrington in accordance with stock purchase agreements. Unfortunately, the stock purchase agreements were not attached to the 8-K filing but it wont make a difference when the promo starts.
On November 28, 2012, the new owners entered into a Share Exchange Agreement with Mobile Dynamic Marketing, Inc. (“MDM”), acquiring all of the issued and outstanding shares of MDM. The shareholders of all of the capital stock of MDM issued and outstanding immediately exchanged their shares into 10 million shares of PBCW stock while Hubert Elrington, the former sole Officer and Director, agreed to cancel 150 million shares of his stock holdings in the Company.
From what we can decipher, since no information exists on Mobile Dynamic Marketing, Inc., is that it will be some sort of daily deal coupon themed website / smart phone app focused on a younger, recurring, local nightlife demographic. Is it gonna be a ten-bagger? Sounds like not.

Bottom Line: PBCW can go on the pre-promotion list of penny stocks to watch since the PPS is not likely to get below 0.05. Based on our original findings when we first profiled PBCW stock back in September, the awareness campaign could be tied to Awesome Penny Stocks, but its highly unlikely. Expect it to be more like GBEN or GSTV.
